Deskripsi Pekerjaan
This position will play a vital role in providing comprehensive legal support to our Board of Directors. The responsibilities will span a diverse spectrum, including commercial legal matters, compliance, and company secretarial duties. Key Accountabilities
Legal Counsel is based in Belawan, Medan. You will be reporting to President Director directly and dotted line to Indonesia Legal Counsel.
You will:
- Support the board of directors to research and draft advice in respect of a broad range of legal issues e.g., general contract law (shipping line, road and rail), leases, IT service agreements, procurement agreements, compliance issues, construction/engineering, projects, insurance claims and contractual disputes.
- Support the board of director to proactively identify, research, anticipate and guard company against legal and compliance risks.
- Guide managers and ensure compliance with applicable policies, rules and regulations.
- Willingness and ability to take on leadership roles within the legal team such as Privacy Officer and Fraud Risk Champion
- Deliver an effective, efficient and valued secretariat/governance service.
- Co-ordination of the preparation and compilation of Board pack submissions for the Board meetings; management of board calendar
- Proactively track, prepare, lodge company filing
- Manage corporate registers.
Qualifications, Skills and Experience
- Bachelor of Laws; Post Graduate Legal Qualification; admitted as a Legal Practitioner; current Practicing Certificate.
- 7+ years of post-qualification experience, ideally with experience working in a corporate secretariat role.
- Experience reviewing, drafting, and negotiating a variety of commercial agreements, including procurement agreements, services and consultancy agreements, MoU’s, NDA’s
- M&A and dispute resolution experience will be highly regarded.
- Experience dealing with regulatory and compliance matters.
- Experience interpreting and applying legislation and regulatory policy.
- Business acumen, with the ability to balance commercial and legal considerations to deliver commercial solutions.
